1. About these Terms
These terms form the agreement between the client and AGVA SINGAPORE PTE LTD for the use of this website and for the supply of canvas case work, organiser lines, travel cases, panels, repairs and related professional services. They apply in place of any earlier discussion unless a written agreement signed by both parties says otherwise.
Where a written quotation, a statement of work or an order confirmation sets out specific terms, those specific terms take priority over these general terms for that job. If any provision of these terms is found to be unenforceable, the remaining provisions continue to apply.
These terms are published in English. Any translation is provided for convenience only, and the English version governs the relationship between the parties.
2. About the Company
AGVA SINGAPORE PTE LTD is a company registered in Singapore. The company works in computer systems design and related professional services and operates a canvas case workshop that cuts, stitches and fits laptop sleeves, desk organisers and travel cases.
AGVA SINGAPORE PTE LTD625 Aljunied Road #04-07 Aljunied Industrial Complex
Singapore - 389836, Singapore (SG)
The workshop operates during the business hours published on the contact page. Messages received outside those hours are answered on the next business day.
3. Use of the Website
The website is provided for information and for communication with the company. A visitor may read the pages, print them for personal reference and send a message through the contact form. A visitor must not use the site in a way that interferes with its operation or with the use of the site by another person.
The following conduct is not permitted:
- Attempting to gain access to any part of the site that is not intended for public use
- Introducing malicious code, automated scraping that places a load on the server, or any form of attack
- Using the contact form to send unsolicited advertising, bulk mail or unlawful material
- Copying the design of the site for a competing commercial purpose without written permission
- Misrepresenting an identity or an affiliation in a message sent to the company
The company may suspend access to the site for maintenance or for security reasons. It will try to give notice of planned maintenance where the notice does not create a security risk.
4. Website Content and Accuracy
The company takes care to keep the content of this website accurate. Descriptions of materials, colours and finishes are given in good faith, but natural canvas, liner cloth and solid brass vary between batches. A colour seen on a screen may differ from the colour of the finished piece because of screen settings and lighting.
Photographs and drawings on the site are illustrative. They show the general character of a product line and do not form a guarantee that a particular piece will match a photograph in every detail. Where a precise colour or finish matters, the client should request a physical swatch before approving a sample.
The company may correct an error on the site at any time and may change a description, a material list or a price without notice. A change does not affect an order that has already been confirmed in writing.
5. Intellectual Property
All content on this website, including text, layout, illustrations and the visual design of the pages, belongs to AGVA SINGAPORE PTE LTD or is used with permission. The company name and any marks associated with it remain the property of the company.
Cut sheets, patterns, stitch specifications and sample records produced by the company for a job remain the property of the company unless a written agreement transfers them. A client receives the right to use the finished pieces and the packing diagrams supplied with them, but not the right to reproduce the company patterns for commercial manufacture.
A client who supplies artwork, a logo or a design for a custom panel confirms that the client has the right to use that material. The client indemnifies the company against a claim arising from the use of material supplied by the client.
6. Enquiries and Quotations
An enquiry sent through the contact form or by email does not create a contract. It is an invitation to discuss a job. The company may ask for additional information, such as device dimensions, a packing list, a quantity or a delivery window, before it can prepare a quotation.
A quotation is valid for thirty days from the date it is issued unless the quotation states a different period. A quotation covers the scope described in it and does not include work that is not described, such as a change to the pattern after a sample is approved or the addition of hardware that was not listed.
Where the cost of a material changes significantly before an order is confirmed, the company may revise the quotation and will explain the reason for the revision. The client may then accept the revised quotation or decline to proceed without charge.
7. Orders and Acceptance
A contract is formed when the client accepts a quotation in writing and the company issues a written order confirmation. The order confirmation states the item, quantity, material, price, bench slot and delivery date. Where a sample is required, the order confirmation may state that production will not begin until the sample is approved.
The company may decline an order if the job falls outside what the workshop can deliver well, if the quantity cannot be scheduled, or if the client has an unresolved payment matter. A declined order is confirmed in writing with a brief explanation.
The client is responsible for checking that the order confirmation is correct, including the item description, the dimensions and the delivery address. A correction requested after production begins may incur a charge and may change the delivery date.
8. Samples and Approvals
Most new designs on this bench begin with a sample. The sample is cut in the final material and fitted to the actual load. The client is asked to approve the sample in writing before a run is scheduled. Approval confirms the fit, the colour, the hardware and the closure.
The approved sample is retained by the company on the shelf for the life of the order and for repeat orders. The sample is not delivered to the client unless that is agreed separately, because it serves as the reference for later batches.
A client who approves a sample without fitting it to the actual load accepts the risk that the fit may not suit. The company will always offer a practical check and will describe any dimension that looks tight before asking for approval.
9. Prices and Payment
Prices are quoted in the currency stated on the quotation, which is normally Singapore dollars. Prices are exclusive of any tax that may apply unless the quotation states otherwise. Delivery costs are shown separately unless the quotation states that delivery is included.
The payment schedule is stated on the order confirmation. A typical order requires a deposit before production and the balance before delivery. Bulk orders may be invoiced by batch. Where payment is late, the company may pause production and may charge interest on the outstanding amount at the rate permitted by law.
Payment is made through the method set out on the invoice. The company does not ask for card details by email or through the contact form. A message that appears to request card details and claims to come from the company should be reported to inquiries@agvasingapore.buzz.
10. Production and Lead Times
Lead times are stated in the quotation and are calculated from the date on which the deposit is received and, where a sample is required, from the date on which the sample is approved. A stated lead time is an estimate made in good faith rather than a guaranteed date unless the order confirmation describes it as fixed.
Production on this bench is done by hand and in small batches. Weather, material availability, the complexity of a pattern and the volume of work already scheduled can all affect the time a job takes. If a delay becomes likely, the company will tell the client as soon as it knows and will propose a revised date.
The company does not subcontract stitching to a third party. That policy keeps quality consistent and limits the number of large runs the workshop can accept in a month. The company will not promise a date that the bench cannot meet.
11. Delivery and Risk
Delivery is made to the address stated on the order confirmation. The client should check the address carefully, since a redelivery caused by an incorrect address may incur a charge. Risk in the goods passes to the client on delivery or, where the client arranges collection, on collection from the workshop.
The client should inspect a delivery on receipt and report any visible damage within three business days. A report should include photographs and the delivery note reference. The company will investigate and, where the damage occurred before delivery, will repair or replace the affected item.
Where a delivery is made to a third party address at the request of the client, the client remains responsible for confirming that the goods were received correctly.
12. Cancellation and Changes
A client may cancel an order before production begins by writing to the company. Where a sample has already been built, the cost of the sample work and any material already cut is payable. The remainder of any deposit is refunded within fourteen days.
Cancellation after production begins is subject to the work completed and the material committed. The company will provide a statement of the work done and the cost of the material that cannot be returned.
A change to an order after a sample is approved may require a new sample and a new lead time. The company will quote the change before doing the work, and the client may accept or decline.
13. Defects and Remedies
The company warrants that its products will be free from defects in materials and workmanship for twelve months from delivery, under normal use and proper care. Normal wear, including the softening of canvas, the darkening of brass and the fading of dye over time, is not a defect.
If a defect appears within the warranty period, the client should contact the company with photographs and the order reference. The company will assess the piece and, at its option, repair it, replace it or refund the price of the affected item.
The warranty does not cover damage caused by misuse, by overloading beyond a stated capacity, by exposure to a substance that damages canvas or brass, or by an alteration made by a third party. A repair carried out by another workshop may end the warranty for the affected part.
Nothing in this section limits a right that a consumer may have under a mandatory law.
14. Repair and Refit Work
Repair and refit work is quoted after an assessment of the piece. The assessment looks at the stitch integrity, the condition of the canvas and the state of the hardware. The company will quote only the work that will extend the life of the piece and will say so if a repair is not worthwhile.
A repaired piece is warranted for ninety days for the specific repair that was carried out. The warranty does not cover a different fault in another part of the piece.
Where a piece is sent in by a client, the client bears the cost of sending it to the workshop and the company bears the cost of returning it after a repair is complete, unless the quotation says otherwise. A piece that is not collected within ninety days after a repair is completed may be disposed of after written notice.
15. Client Materials and Instructions
Where a client supplies material, artwork or a specific instruction, the client is responsible for the quality of that material and for the accuracy of the instruction. The company will check a supplied material for obvious faults but cannot guarantee that a material it did not choose will perform as the client expects.
Where an instruction conflicts with sound practice, the company will raise the concern before cutting. If the client insists on the instruction, the company may proceed but will note the concern on the job card, and the warranty will not cover a fault that arises from that instruction.
Material supplied by a client is stored on the bench for the duration of the job. The company takes reasonable care of it but is not liable for a loss caused by a fault in the material itself.
16. Professional Services
In addition to case work, AGVA SINGAPORE PTE LTD provides computer systems design and related professional services. A professional engagement is governed by a statement of work that describes the scope, the deliverables, the milestones and the fee. These terms apply to that engagement except where the statement of work says otherwise.
A professional engagement assumes that the client will provide timely access to the people, systems and information needed to complete the work. A delay caused by a client dependency may change the schedule and may change the fee where the statement of work provides for time based billing.
Deliverables are provided for the purpose stated in the statement of work. The company does not warrant that a system will be free from every fault, but it will correct a fault in a deliverable that is reported within thirty days of handover.
17. Limitation of Liability
To the extent permitted by law, the company is not liable for indirect or consequential loss, including loss of profit, loss of business, loss of data or loss of goodwill, arising from the use of this website or from an order. The company is not liable for a loss that was not reasonably foreseeable when the contract was formed.
The total liability of the company for a claim connected to an order is limited to the price paid for the affected item, or to the fee paid for the affected professional service, whichever applies. This limit does not apply to fraud, to wilful misconduct, or to a liability that cannot be limited by law.
The website is provided as it stands. The company does not warrant that the site will be available without interruption or free from every error, but it will act promptly to correct a fault that is reported.
18. Force Majeure
The company is not liable for a delay or a failure to perform that is caused by an event beyond its reasonable control. Such events include a natural disaster, a pandemic, a fire, a flood, a strike, a failure of a utility or transport network, a government restriction, or a shortage of a material that cannot be sourced from another supplier.
If such an event occurs, the company will notify the client promptly, will describe the effect on the schedule, and will take reasonable steps to reduce the delay. If the event continues for more than sixty days, either party may end the affected order without penalty, and the company will refund the price paid for work that has not been done.
19. Privacy
The company handles personal information in line with its Privacy Policy, which is published on this website and can be reached from the footer of every page. The Privacy Policy describes what is collected, why it is collected and how a person may exercise a right over the information.
By using the website or placing an order, a client acknowledges that personal information will be handled as described in the Privacy Policy. A question about privacy should be sent to inquiries@agvasingapore.buzz with the word privacy in the subject line.
20. Governing Law and Disputes
These terms are governed by the laws of Singapore. The parties will first try to resolve a dispute through good faith discussion. A party who wishes to raise a dispute should write to the other party with a clear description of the issue and the outcome that is sought.
If a dispute cannot be resolved within thirty days, either party may refer the matter to the courts of Singapore, which will have exclusive jurisdiction, unless a mandatory rule of another jurisdiction provides otherwise. A consumer in another jurisdiction may also have a right to bring a claim in the courts of that jurisdiction.
A party who continues to perform an obligation while a dispute is reviewed does not waive the right to raise that dispute later.
21. Changes to these Terms
The company may update these terms from time to time to reflect a change in the law, a change in a service, or an improvement in clarity. The effective date at the top of the page shows when the current version took effect.
A material change applies to a new order from the date it is published. An order already confirmed is governed by the version of the terms that applied when the order was confirmed, unless both parties agree to the change in writing.
A visitor should read these terms again before placing a new order. The current version is always available at this address.
22. Contact
